Acted as the Cyprus counsel in many cross border and domestic mergers and re-organizations of companies, including but not limited to the cross-border merger between a Cypriot company (‘the Acquiring Company’) and a Polish entity (‘the Acquired Company’) owning famous supermarket chain stores in Poland. The matter value of the merger was approximately €18.000.000 and our firm was instructed to advise the Cypriot entity as to the procedure to be followed, to draft and negotiate the merger plan and all other documents required under Cyprus law including but not limited to the drafting and submission of the applications to the District Court of Cyprus. The surviving company following completion of the cross-border merger was the Cypriot entity. Our firm was responsible for drafting and negotiating the merger plan, the directors’ report, any documents required under Cyprus law in connection to this matter and to submit the documents with the Registrar of Companies of Cyprus.
