The Corporate Department of Michael Kyprianou & Co LLC has advised Sberbank of Russia and Sberbank Invest on the banks' participation in the joint venture with O1 Properties, one of the largest groups of property owners and managers in Russia, and the financing and acquisition of a share in the company's capital, owning the White Square complex in Moscow for the total value of USD 800 million.
The firm acted as the Cypriot counsel for Silk Road Fund, a state-owned investment fund of the Chinese government, on the equity investment and a 15-year loan financing for the amount of €1.09 billion of Russia's key new Liquefied Natural Gas (LNG) project owned by Novatek, Russia's largest independent natural gas producer.
Acted as the Cyprus counsel in many cross border and domestic mergers and re-organizations of companies, including but not limited to the cross-border merger between a Cypriot company (‘the Acquiring Company’) and a Polish entity (‘the Acquired Company’) owning famous supermarket chain stores in Poland. The matter value of the merger was approximately €18.000.000 and our firm was instructed to advise the Cypriot entity as to the procedure to be followed, to draft and negotiate the merger plan and all other documents required under Cyprus law including but not limited to the drafting and submission of the applications to the District Court of Cyprus. The surviving company following completion of the cross-border merger was the Cypriot entity. Our firm was responsible for drafting and negotiating the merger plan, the directors’ report, any documents required under Cyprus law in connection to this matter and to submit the documents with the Registrar of Companies of Cyprus.
Involved in a due diligence exercise and the subsequent acquisition of a Cypriot company, for a purchase price of over €20,000,000, by a Dutch professional services company. Other than the review and negotiation of all relevant agreements executed by the parties for the acquisition of the company, our office was responsible for supervising and monitoring all transfer and completion actions, also providing general legal assistance and advice to the client for all matters that involved a Cypriot element in the transaction.
Michael Kyprianou & Co LLC has been engaged by a French development financial institution to provide legal assistance and advice in relation to the sale of its stake in a Cypriot company for the amount of approximately €13,000,000. Our firm was also responsible for coordinating the finalization of the sale and purchase of the shares with the other French, English and Indian advocates and law firms involved in the transaction.

The litigation department successfully represented Mari Recycling S.A., a Greek recycling company, in relation to a dispute with a recycling certification company leading to the recovery of an amount of €700.000.
