The Law on the Encouragement of the Long-Term Active Participation of the Shareholders of 2021 (111(I)/2021)

On the 12th of May 2021, the Law on the Encouragement of the Long-Term Active Participation of the Shareholders of 2021 (111(I)/2021) harmonized the EU Directive 2017/828 into national law. The said directive amends the EU Directive 2007/26/EC which relates to the long term active participation of the shareholder.

This Law determines the conditions for the exercise of certain rights by shareholders associated with voting rights at general meetings of companies having their registered office in the Republic and whose shares have been admitted to trading on a regulated market. It sets specific requirements in order to encourage the participation of shareholders, in particular in the long term, which apply to the following:

  • identification of shareholders,
  • the transfer of information,
  • the facilitation of the exercise of shareholders' rights,
  • the transparency of institutional investors, asset managers and proxies,
  • the remuneration of consultants and
  • the transactions of related parties.
